Terms of Service

Welcome to HonestHome. These Terms of Service (“Terms”) govern your access to and use of the HonestHome platform, including the website, applications, and all related services (collectively, the “Service”). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “HonestHome”, “we”, “us” or “our” refers to the entity that operates the HonestHome platform.
  • “User”, “you” or “your” refers to any individual or entity that accesses or uses the Service.
  • “Project” means a construction project created on the platform by a User.
  • “Content” means all data, documents, photographs, invoices, Bill of Quantities files, site notes, and any other material uploaded or generated within the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Account Registration and Security

To use the Service you must create an account by providing accurate and complete information. You may register using email and password or through a supported third-party provider (Google, LinkedIn, or Apple). You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

4. Description of the Service

HonestHome is a construction cost auditing and reconciliation platform. The Service allows you to:

  • Upload and extract Bill of Quantities (BoQ) data from spreadsheets;
  • Upload builder invoices for each billing period;
  • Use AI-powered reconciliation to match invoice line items against BoQ entries and flag discrepancies such as overcharges, math errors, missing items, and extra work;
  • Document site visits with geotagged photos and notes;
  • Track construction schedules and payment milestones;
  • Generate digital dossiers and collect digital signatures;
  • Maintain a complete audit trail of all project activity.

5. AI-Powered Features — Important Disclaimer

The Service uses artificial intelligence to assist with invoice reconciliation, data extraction, and discrepancy detection. You acknowledge and agree that:

  • AI outputs are assistive tools only and are not a substitute for professional auditing, financial, or legal advice;
  • AI-generated results may contain errors, omissions, or inaccuracies;
  • You are solely responsible for reviewing, verifying, and approving all AI-generated matches, flags, and calculations before acting on them;
  • HonestHome does not guarantee that the AI will detect every overcharge, error, or discrepancy in your documents.

6. User Responsibilities

When using the Service you agree to:

  • Provide accurate and lawful data, documents, and information;
  • Not upload fraudulent invoices, falsified documents, or any content that violates applicable law;
  • Comply with all applicable laws and regulations, including construction, financial, and data protection legislation;
  • Obtain any necessary consents before uploading personal data of third parties (e.g. builder contact information or site photographs that identify individuals);
  • Not attempt to reverse-engineer, decompile, or disassemble any part of the Service.

7. Multi-Party Projects and Access Control

The Service supports collaboration between multiple parties on a Project, including homeowners, owner representatives, builders, and auditors. As the creator or administrator of a Project:

  • You are responsible for managing who has access to the Project and the data within it;
  • You must ensure that all invited parties are aware of and agree to these Terms;
  • HonestHome is not responsible for disputes between parties arising from the use of the Service or the data shared within a Project.

8. Digital Signatures

The Service facilitates the collection of digital signatures on dossiers, including through integration with the Portuguese Chave Móvel Digital (CMD) system. You acknowledge that:

  • HonestHome facilitates but does not itself provide qualified electronic signature services;
  • The legal validity and enforceability of digital signatures depend on applicable local law and the signature method used;
  • You are responsible for verifying the identity of all signatories on your Project.

9. Data Ownership and Intellectual Property

Your Content. You retain all ownership rights to the Content you upload to the Service. By uploading Content you grant HonestHome a limited, non-exclusive, worldwide licence to store, process, analyse, and display your Content solely for the purpose of providing and improving the Service.

Our Platform. The Service, including its software, algorithms, user interface, design, and branding, is owned by HonestHome and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

10. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and applicable Portuguese data protection legislation.

11. Payment and Subscription

Certain features of the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be communicated to you before you incur any charges. We reserve the right to change our pricing with at least 30 days’ prior notice. During a free trial or early-access period, the Service is provided at no cost and may be subject to additional limitations.

12. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to provide advance notice of material changes. If we permanently discontinue the Service, we will provide you with a reasonable period to export your Content.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied;
  • HonestHome shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities;
  • HonestHome shall not be liable for financial losses arising from undetected overcharges, invoice errors, or discrepancies in your construction project;
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to HonestHome in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

14. Indemnification

You agree to indemnify and hold harmless HonestHome, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) Content you upload or share; or (d) your violation of any applicable law or the rights of a third party.

15. Termination

You may close your account at any time through the Service settings or by contacting us. We may suspend or terminate your access if you breach these Terms, with or without prior notice depending on the severity of the breach.

Upon termination, your right to use the Service ceases immediately. We will retain your Content for a reasonable period (no longer than 90 days) to allow you to export your data, after which it may be permanently deleted, unless longer retention is required by law.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Portugal. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal, without prejudice to any mandatory consumer protection provisions that may apply.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the changes.

18. General Provisions

  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and HonestHome regarding the use of the Service.
  • No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. HonestHome may assign its rights and obligations without restriction.
